USD 10 million United States consortium investment in a Kenyan hospital

Taking a lead role for an acquiring consortium from the United States in its acquisition of a leading hospital in Kenya, with equity in excess of USD 10 million injected into the business: structuring the investment and acquisition, the shareholding and ownership arrangements and corporate governance; drafting and negotiating the equity and capital-raising documentation, including the share purchase and share subscription agreements, the shareholders’ agreement, the amended constitutional documents and the related board and shareholder resolutions; and liaising with the Competition Authority of Kenya and the relevant health-facility licensing bodies in Kenya on the approvals required.
